Except as otherwise noted herein, these terms and conditions (the “Terms”) govern your use of the Website and merus’s services, applications, and content (collectively, the “Site”) and your purchase, receipt, or use of our cosmetics or other products made available through the Site (collectively, the “Product(s)”).

These terms and conditions (“Terms of Use”) contain very important information regarding your and our rights and obligations, as well as conditions and exclusions that might apply to you. Please read the Terms and Conditions carefully. Depending on your use of our website and services, different parts of these Terms and Conditions will apply.

PLEASE READ THESE TERMS CAREFULLY BECAUSE YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS CONSTITUTES YOUR AGREEMENT TO FOLLOW AND BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SITE, OR PURCHASE, RECEIVE OR USE OUR PRODUCTS.

THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVER PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

Merus reserves the right to change or modify these Terms at any time and in our sole discretion. If we make material changes to these Terms, we will provide notice of such changes, such as by sending you an email notification or providing notice through the Site. By continuing to access or use the Site in any way after such notice has been provided, you confirm your acceptance of the revised Terms.

1. Account Creation; Eligibility

You may use the Site only if you can form a binding contract with Merus, and only in compliance with these Terms and all applicable local, state, national, and international laws, rules and regulations. In order to purchase from the Site you must complete the registration process to obtain a user account. You must provide complete and accurate information and have an ongoing obligation to update this information.

  • You agree that you will never share your user ID and password.
  • You agree that only you will use your account.
  • You are solely responsible for all activity that takes place in connection with your account.
  • You agree that you will not create more than one account. Paying for the connectivity and data plans of your computer devices is your responsibility.

2. Terms of Sale

  • Orders, Pricing and Payments: Merus strives to communicate accurate pricing but will not be held responsible for any pricing, typographical, or other errors. Displayed colors depend on your monitor. Products may be out of stock or discontinued. Your order is subject to cancellation by Merus, in Merus’s sole discretion.
  • Quantity Limitations and Restrictions: We reserve the right to limit the quantity of items purchased per person, per household or per order. We reserve the right to refuse or cancel any order for any reason.
  • Resellers Prohibited: We reserve the right to prohibit sales to dealers or resellers. Products you purchase may not be resold or exported; your purchase may not be sold, leased, or transferred to restricted countries or end users according to U.S. export and sanctions laws.
  • Shipping: You agree to pay any shipping and handling charges shown at the time of purchase. Currently, our policy is free shipping for orders over $29.
  • Taxes: We will collect applicable sales tax where we have a duty to do so. You are responsible for all sales and other taxes associated with the order unless a valid tax exemption certificate is provided.

  • Product Disclaimer: All Products should be used strictly in accordance with their instructions. Check ingredients to avoid allergic reactions. Use of the Site is not a substitute for professional medical advice. IF YOU ARE IN NEED OF MEDICAL ATTENTION, CALL 911 OR YOUR PHYSICIAN IMMEDIATELY.

3. Additional Terms for International Sales

  • International Shipments: Risk of loss and title to Products will pass at the time we transfer the Product to the carrier at the facility in the United States (for Canada orders) or the United Kingdom (for U.K. or E.U. orders).
  • Customs Fees: Orders shipped outside the United States may be subject to customs import duties and/or taxes. These charges are your responsibility.

4. Security Rules

Violations of system or network security may result in civil or criminal liability. You are prohibited from:

  • (i) Accessing data not intended for you or unauthorized logging.
  • (ii) Attempting to probe, scan or test the vulnerability of a system.
  • (iii) Interfering with service via viruses, overloading, “flooding,” “email bombing” or “crashing.”
  • (iv) Forging any TCP/IP packet header.

5. Prohibited Uses; Access

The Site may be used only for lawful purposes for your personal, noncommercial use. Specifically prohibited uses include:

  • (i) Posting incomplete, false, or inaccurate information.
  • (ii) Conduct that constitutes a criminal offense or violates laws.
  • (iii) Posting copyrighted material without permission.
  • (iv) Revealing trade secrets or infringing on intellectual property/privacy rights.
  • (v) Violating export control laws.

6. Materials and Content

No material from the Site may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way. The Site and its “Materials and Content” are Merusl’s property or that of our suppliers and protected by patent, trademark and/or copyright laws. We grant you a personal, limited, nonexclusive, nontransferable license to access the Site for personal use.

7. Proprietary Rights

Merus is the owner/authorized user of all trademarks, trade names, service marks, and logos (collectively, the “Intellectual Property”). You agree not to display or use the Intellectual Property in any manner without Merus’s prior written permission.

8. User Content; Social Media Agreement

  • License Grant: Any content you post or tag with #Merus #Merus Beauty (User Content) is non-confidential. You grant Merus a perpetual, irrevocable, royalty-free, worldwide license to use, exploit, or modify the User Content for any marketing, advertising, or promotional purposes.
  • Representations and Warranties: You represent that you own the User Content, are 18 years or older, and that the content does not infringe on third-party rights or contain harmful code.
  • Release: You release Meruslab from any and all claims relating to the use of User Content, including intellectual property or privacy violations.

9. Contests, Sweepstakes, and Other Promotions

Each promotion has its own rules, which you must agree to before entering. We may use third-party providers to conduct these. Participation is voluntary, and any requested personally identifiable information will be handled according to our prior notice and choices provided to you.

10. Copyright Complaints

If you believe your work has been copied in a way that constitutes copyright infringement, provide our agent with:

  • (i) A signature of the authorized person.
  • (ii) Identification of the copyrighted work.
  • (iii) Identification of the infringing material and its location.
  • (iv) Your contact information.
  • (v) A statement of good-faith belief.
  • (vi) A statement of accuracy under penalty of perjury.

In accordance with the DMCA, we terminate use by repeat infringers.

GOVERNING LAW These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of HK.
